These Terms of Service ("Terms") are a legal agreement between you and Property Pilot 360 ("Property Pilot 360," "we," "us," or "our") governing your access to and use of the propertypilot360.com website (the "Site"), our web application (the "Web App"), and our iOS and Android mobile applications (the "Mobile Apps," and together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who may use the Services
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
2. The Services; customers and end users
Property Pilot 360 provides property-management software. Property owners and management companies ("Customers") subscribe to the Services and use them to serve their residents, applicants, and vendors ("End Users"). Customers are responsible for their own accounts, their data, their users, and their compliance with applicable laws (including fair-housing, consumer-reporting, and landlord-tenant laws).
3. Accounts & security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.
4. Subscriptions, fees & payments
- Customer subscriptions are billed on the plan and cycle selected. Fees are non-refundable except as required by law or expressly stated.
- Payments (including subscription fees and, where enabled, rent and other resident payments) are processed by third-party payment providers subject to their terms. You authorize the applicable charges.
- We may change fees on prospective renewal with prior notice.
5. Text messaging (SMS) terms
If you opt in to text messages, you consent to receive recurring automated messages related to your account and services. Message frequency varies, and message and data rates may apply. Reply STOP to unsubscribe or HELP for help. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.
6. Acceptable use
You agree not to: (a) use the Services unlawfully or to infringe others' rights; (b) upload malware or attempt to gain unauthorized access; (c) interfere with or disrupt the Services; (d) reverse engineer or copy the Services except as permitted by law; (e) use the Services to send unlawful, harassing, or deceptive communications; or (f) misuse resident, applicant, or consumer-report information.
7. Customer data
As between the parties, Customers own the data they and their End Users submit ("Customer Data"). Customers grant us a limited license to host and process Customer Data to provide and improve the Services and as described in our Privacy Policy. Customers are responsible for the accuracy and legality of Customer Data and for obtaining necessary consents.
8. Mobile app license
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Mobile Apps on devices you own or control, for your permitted use of the Services. Your use is also subject to the applicable app store terms (Apple App Store, Google Play). If you obtained the app from the Apple App Store, you acknowledge these Terms are between you and Property Pilot 360 (not Apple), and Apple is a third-party beneficiary entitled to enforce them.
9. Intellectual property
The Services, including all software, design, text, and trademarks, are owned by Property Pilot 360 or its licensors and are protected by law. Except for the limited rights expressly granted, no rights are transferred to you.
10. Third-party services
The Services integrate with third-party services (e.g., payments, messaging, screening, e-signature). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICES ARE NOT A SUBSTITUTE FOR LEGAL, TAX, OR ACCOUNTING ADVICE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTY PILOT 360 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU PAID NOTHING).
13. Indemnification
You will indemnify and hold harmless Property Pilot 360 from claims, damages, and expenses arising from your use of the Services, your data, or your violation of these Terms or applicable law.
14. Termination
You may stop using the Services at any time. We may suspend or terminate access for violation of these Terms, non-payment, or legal/security reasons. Upon termination, your right to use the Services ends; certain provisions survive (including Sections 7, 9, 11–13, and 15).
15. Governing law & disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Utah, unless the parties agree to arbitration in writing. You and Property Pilot 360 each waive any right to a jury trial to the extent permitted by law.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated "Last updated" date and, where required, additional notice. Your continued use after changes take effect constitutes acceptance.
